Terms of Service

1. Acceptance of Terms

By accessing or using the Bearsight website or BearAI service ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

2. Description of Services

Bearsight provides two categories of services:

  • BearAI — a software product that enables users to query connected SQL databases using natural language. BearAI queries your data in real time and does not store the content of your database.
  • Managed Data Warehouse Engagements — a professional services offering in which Bearsight designs, builds, and manages a data warehouse on a client's behalf. This involves connecting to client APIs and data sources, extracting data, and storing it in a hosted warehouse environment as a core deliverable of the engagement.

3. User Accounts

  • You must provide accurate and complete information when creating an account
  • You are responsible for maintaining the security of your account credentials
  • You must notify us immediately of any unauthorised use of your account
  • You may not share your account with others or create accounts for others without permission

4. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose
  • Attempt to gain unauthorised access to our systems
  • Interfere with or disrupt the Services
  • Use the Services to transmit harmful or offensive content
  • Reverse engineer or attempt to extract our source code
  • Resell or sublicense the Services without written permission

5. Data and Access

5.1 BearAI Database Connections

When you connect a database to BearAI, you grant us a limited, revocable licence to query that data for the sole purpose of providing the BearAI question-answering service. You may revoke this access at any time from your account settings. You represent that you have the right to authorise access to any data you connect.

5.2 Managed Data Warehouse Engagements

For Managed Data Warehouse engagements, you grant Bearsight the right to access your designated APIs and data sources and to extract, store, and process that data for the purpose of building and maintaining the analytics solution described in your engagement agreement. This access and data retention is a core part of the service and will continue for the duration of the engagement. Upon termination:

  • Bearsight will provide you with an export of your warehouse data in an agreed format upon request
  • All retained data will be deleted from Bearsight infrastructure within 30 days of termination unless a longer period is agreed or required by law
  • You represent and warrant that you have the right to authorise Bearsight to access and process all data sources provided under the engagement

6. Intellectual Property

The Services, including all software, design, and content, are owned by Bearsight and protected by intellectual property laws. You retain ownership of any data you connect to our Services. We retain ownership of all work product, models, and intellectual property created by us.

7. Payment and Billing

Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days' notice. Failure to pay may result in suspension of your account.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY SPECIFIC RESULTS WILL BE OBTAINED.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEARSIGHT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICES.

10. Indemnification

You agree to indemnify and hold harmless Bearsight and its employees from any claims, damages, or expenses arising from your use of the Services or violation of these Terms.

11. Termination

Either party may terminate the agreement at any time. Upon termination, your access to the Services will be suspended and your data will be deleted within 30 days as described in our Privacy Policy. Provisions that by their nature should survive termination will survive.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or by posting a notice in the Services. Continued use after notice constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the jurisdiction in which Bearsight operates. Any disputes shall be resolved through binding arbitration or in the courts of that jurisdiction.
